WedFirm.com - Terms of use / Service Agreement

THIS AGREEMENT is by and between WedFirm LLC, hereinafter referred to as “Company” and you.

WHEREAS, Company is engaged in the sale of Matrimonial Services through its website called and located on the internet at “WedFirm.com”. The company sells Matrimonial Services, hereinafter referred to as “Service” or “Services”, to anyone who registers and creates a user account on WedFirm.com. A user account holder on WedFirm.com hereinafter is referred to as WedFirm.com “Member” or a “Registered User”; and

WHEREAS, by signing up for a user account, you desire to become a Website Member in accordance with the terms and conditions of this Agreement.

This is a legal agreement ("Agreement") between you and the Company

Please read the Agreement carefully before signing up for the Service. Using, signing up, or completing your registration process on WedFirm.com indicate your acceptance of this Agreement and you agree to be bound by the terms and conditions of this Agreement (the "Terms") for as long as you continue to be a User, or a Member of WedFirm.com.

IF YOU DO NOT AGREE TO THE TERMS, PLEASE DO NOT SIGN UP FOR THE SERVICE.

The Terms are subject to change by the Company at any time, effective upon posting updated Terms on WedFirm.com; any use of the Service after such notice will constitute acceptance by you of such changes.

1. Right to Use
By signing up for a user account on WedFirm.com (hereinafter, “Website”), subject to Company's acceptance, you will become a Website Member (hereinafter, a “Member” or a “Registered User”).

You fully understand and agree that use of the Website and/or WedFirm Services is a privilege, not a right. The Company reserves the right to deny a new membership or revoke your existing Membership for any or no reason whatsoever.

Your right to use the Website is subject to any limitations, conditions and restrictions established by the Company at any time, in Company’s sole discretion. Company may alter, suspend or discontinue any aspect of the Website at any time, including the availability of any Website feature, database or content. Company may also impose limits on certain features and aspects of the Website or restrict your access to selective parts, or the whole Website without notice or liability.

2. Validity of this Agreement
This Agreement will remain in full force and effect while you use the Website and/or are a Member. You may terminate your membership at any time, for any reason by notifying the Company with a written or email notice of termination. Company may terminate your membership for any reason, effective upon sending notice to you at the email address you provide at the signup, or such other email address as you may later provide to WedFirm.com. If the Company terminates your membership to the Service because you have breached the Agreement, you will not be entitled to any refund of any unused Subscription fees. Even after this Agreement is terminated, certain provisions will remain in effect including sections 1, 5, 6, 7, 8, 9, and 10 of this Agreement.

3. Permission to Contact
By signing up for a membership you hereby allow the Company or one of its representatives (hereinafter, “Relationship Manager” or “Representative”) to contact you through telephone to verify your information. You also understand and agree that after re-confirming your information over the phone, it is solely Company’s discretion to allow or disallow you a membership on WedFirm.com for any or no reason whatsoever. However, if you feel that your membership was rejected and/or revoked as a result of a misunderstanding, you may contact the Company through its Website. At that point Company reserves the right, but has no obligation, to discuss the issue with you.

4. Eligibility
By signing up for the Membership on WedFirm.com or by using this Website:

  1. You represent and warrant that you are at least 18 years old.

  2. You represent and warrant that you are not prohibited or disabled by any law from entering into this Agreement.

  3. You represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of the Terms of Use of this Agreement.
5. Marital Status
By requesting to find compatible matches for yourself, you represent and warrant that you are not married. By requesting to find compatible matches for other Profile(s) you create on the Website, you represent and warrant that each individual associated with their respective Profile is not married.

6. Code of Conduct
You agree to use the Website in accordance with the following Code of Conduct:

  1. You fully understand and agree that the Company and the Website is not liable for the conduct of its Members on or off the Website. It is a violation of Agreement to use any information obtained from the Service in order to harass, abuse, or harm another person, or attempt to contact, advertise to, solicit, or sell to any Member without their prior explicit consent.

  2. You are solely responsible for any information that you display when using the Website or to other members. You will keep all information provided to you through the Website as private and confidential and will not give such information to anyone without the permission of the person who provided it to you.

  3. You will not use the Website to engage in any form of harassment or offensive behavior, including but not limited to the posting of communications, pictures or recordings, which contain libelous, slanderous, abusive or defamatory statements, or racist, pornographic, obscene, or offensive language;

  4. You will not forward chain letters through the Website;

  5. You will not use the Website to infringe the privacy rights, property rights, or other civil rights of anyone including, but not limited to, the Company, its licensors and licensees, Members, Representatives, and Affiliates.

  6. You will not post messages, pictures or recordings or use the Website in any way which violates, plagiarizes or infringes upon the rights of any third party, including but not limited to any copyright or trademark law, privacy or other personal or proprietary rights, or is fraudulent or otherwise unlawful or violates any law. Your use of the Website is for your own personal use. You may not authorize others to use the Website and you may not transfer your accounts with other users.

  7. You will not use the Website to distribute, promote or otherwise publish any material containing any solicitation for funds, advertising or solicitation for goods or websites.

  8. The Company reserves the right, but has no obligation, to monitor the materials posted in the public areas of the Service. The Company shall have the right to remove any such material that in its sole opinion violates, or is alleged to violate, any applicable law or either the letter or spirit of this Agreement. Notwithstanding this right of the Company, you remain solely responsible for the content of the materials you post in the public areas of the Service and in your private messages to other Members or Relationship Managers. Website’s E-Mail, or any Private Messages sent between you and other Members or Relationship Managers that are not readily accessible to the general public will be treated as private by the Company to the extent permitted by applicable law.
7. Disputes
You are solely responsible for your actions and interactions with other WedFirm.com Members, and Relationship Managers. Company and Website have no obligation, under any circumstances to monitor disputes between you and other Members or Company Representatives.

8. Non Commercial Use
The Website is for the personal use of individual Members only and may not be used in connection with any commercial endeavors. Organizations, companies, and/or businesses may not become Members and should not use the Service or the Website for any purpose. Illegal and/or unauthorized uses of the Website, including collecting usernames and/or email addresses of members by electronic or other means for the purpose of sending unsolicited email and unauthorized framing of or linking to the Website will be investigated, and appropriate legal action will be taken, including without limitation, civil, criminal, and injunctive redress.

9. Limitation of Liability and Disclaimer of Warranties
  1. THIS SERVICE IS PROVIDED BY THE COMPANY ON AN "AS IS" AND "AS AVAILABLE" BASIS. COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THIS WEBSITE OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON THIS WEBSITE. YOU EXPRESSLY AGREE THAT YOUR USE OF THIS WEBSITE IS AT YOUR SOLE RISK.

  2. TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WEDFIRM.COM DOES NOT WARRANT THAT THIS SITE, ITS SERVERS, OR E-MAIL SENT FROM WEDFIRM.COM ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WEDFIRM.COM WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THIS SITE, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES.

  3. Exchange of any information, including matrimonial profile(s) through or by WedFirm.com Service should not, in any way, be interpreted as matrimonial offer and/or recommendation by WedFirm.com. Company shall not be responsible for any loss or damage to any individual arising out of, or subsequent to, matrimonial relations established pursuant to the use of WedFirm.com Service.

  4. The contents on the Website and the Service including the matrimonial information including, but not limited to, date of birth, age, marital status, handicaps (if any), religion etc. posted by the members are provided "AS IS" without liability of any kind to us, whether express, implied or statutory. Each individual member is solely responsible for the Contents that he or she publishes or displays ("posts") on the Website or transmits to other WedFirm.com Members. Company cannot guarantee and does not promise any specific results from use of the Website and/or the Service.

  5. Company is not responsible for any incorrect or inaccurate Content posted on the Website by its users, Members, Representatives, Affiliates or by any of the equipment or programming associated with or utilized in the Service. Furthermore, Company is not responsible or answerable for the conduct of any Relationship Manager, Registered User and/or Member of the Website whether online or offline.

  6. While the Company performs an initial screening of individuals registering to become Company’s Representative, Relationship Manager, Website Member, or Registered User, the Company makes no representations or warranties as to the conduct of such individuals. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, COMPENSATORY, CONSEQUENTIAL, AND/OR INCIDENTAL, ARISING OUT OF OR RELATING TO THE CONDUCT OF RELATIONSHIP MANAGER OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE SERVICE, INCLUDING WITHOUT LIMITATION, BODILY INJURY, EMOTIONAL DISTRESS, AND/OR ANY OTHER DAMAGES RESULTING FROM COMMUNICATIONS OR MEETINGS WITH COMPANY’S OFFICERS, EMPLOYEES, RELATIONSHIP MANAGERS, REGISTERED USERS, MEMBERS, THIRD PARTY VENDORS, AND AFFILIATES OF THIS SERVICE OR PERSONS INTRODUCED TO YOU BY THIS SERVICE.

  7. g) In no event will Company be liable to you or any third person for any indirect, consequential, incidental, special or punitive damages, including also lost profits arising from your use of the Website or the Service even if the Company has been advised of the possibility of such damages. Notwithstanding above points and provided that you abide by the Terms, Company's liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to the Company for the Service during the term of your membership.
10. Indemnity
You agree to defend, indemnify, and hold the Company, Company’s Directors, Company’s officers, Company’s employees, Company’s Relationship Managers, Company’s Representatives, and affiliates harmless of and from any and all claims or liability arising as a result of negligent, intentional or other acts of Relationship Managers, WedFirm.com Member(s) and/or Registered User(s) or anyone who you communicate and/or come in contact through the use of this Service, personally, privately, online, or offline.

You will indemnify and hold harmless the Company, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of your use of the Service, including any breach by you of the terms of this Agreement.

11. Arrangements and General Provisions.
You agree that New Jersey law (regardless of conflicts of law principles) shall govern this Agreement, and that any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the federal and/or state courts in the Essex County, State of New Jersey, USA. The Company reserves the right to send electronic mail to you, for the purpose of informing you of changes or additions to the Website. We reserve the right to disclose information about your usage of the Website and Demographics in forms that do not reveal your personal identity. We reserve the right to disclose all information regarding your usage of this service to any law enforcement agency at their request.

This Agreement, accepted upon use of the WedFirm.com and/or signing up for the Website and becoming a Member of the service, contains the entire agreement between you and the Company regarding the use of the Website and/or the Service. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.
